Board of Directors

Better Futures for Children’s Board of Directors has three primary legal duties known as the “duty of care,” “duty of loyalty,” and “duty of obedience.”

• Duty of Care: The Board takes care of the organization by ensuring prudent use of all assets, including facility, people, and good will;
• Duty of Loyalty: Board ensures that Better Futures for Children’s activities and transactions are, first and foremost, advancing its mission; recognizes and discloses conflicts of interest; makes decisions that are in the best interest of the organization; not in the best interest of the individual board member (or any other individual or for-profit entity).
• Duty of Obedience: The Board ensure that Better Futures for Children obeys applicable laws and regulations; follows its own bylaws; and that the organization adheres to its stated corporate purposes/mission.

The Board of Directors is responsible for providing the organization with sound governance, judiciary and strategic oversight and direction. The Board of Directors is responsible for assuring the financial integrity of the organization and establishes policies and procedures to safeguard the organization from fraud and risks.

The Board also oversees the operations of the organization, ensure that the public’s trust in Better Futures for Children is upheld, and ensures that all organizational practices are compliant with donor and governmental requirements and that they are legal and ethical.

The Board sets the overall strategic direction for Better Futures for Children and ensures that the organization’s mission addresses the needs of the vulnerable and at-risk youth and young adults in Kisumu City.
